These Terms of Service ("Terms") govern your access to and use of the website at www.qiancloud.shop (the "Site") and the professional, scientific, and technical services provided by Kunming Qian Cloud Technology Co., Ltd. ("Company," "we," "us," or "our"). By accessing or using our Site or services, you agree to be bound by these Terms.
"Client" means the individual or entity accessing our Site or engaging our services. "Services" means all professional services offered including systems design, cloud architecture, integration, cybersecurity, analytics, and IT consulting. "Content" means text, graphics, images, software, data, reports, and documentation provided through the Site or Services.
The Company provides professional, scientific, and technical services in computer systems design and related services, as described on our Site and in individual Statements of Work (SOW).
Client agrees to provide timely access to relevant personnel, systems, and data; make decisions within reasonable timeframes; ensure all provided information is accurate; comply with applicable laws; and maintain confidentiality of access credentials.
The Company retains all rights to its pre-existing intellectual property. Upon full payment, the Client receives a non-exclusive, perpetual license to use deliverables. Client retains rights to its materials provided to the Company.
Fees are set forth in each SOW. Invoices are due within 30 days. Late payments accrue interest at 1.5% per month. Client reimburses pre-approved expenses and is responsible for all applicable taxes.
Both parties agree to hold Confidential Information in strict confidence, use it only for performing obligations, and protect it with reasonable care. Confidential Information excludes publicly available information and independently developed data.
The Company warrants professional performance of Services in accordance with industry standards. All other warranties, express or implied, are disclaimed to the maximum extent permitted by law.
Neither party is liable for indirect, incidental, special, or consequential damages. The Company's total liability shall not exceed fees paid in the 12 months preceding the claim. These limitations do not apply to confidentiality breaches, IP infringement, or gross negligence.
Each party agrees to indemnify the other against third-party claims arising from IP infringement, gross negligence, violation of law, or breach of these Terms.
Either party may terminate an SOW upon 30 days' notice. Either party may terminate immediately for material breach that remains uncured after 30 days' notice, or upon the other's insolvency.
These Terms are governed by the laws of the People's Republic of China. Disputes shall be resolved through good-faith negotiation, then binding arbitration in Kunming, Yunnan Province. These Terms constitute the entire agreement between the parties.
